PRANA is a luxury travel concierge platform that provides AI-powered hotel recommendations and travel planning assistance. Our Service connects users with properties within the Virtuoso network and offers personalized recommendations based on your preferences, travel history, and stated requirements. PRANA utilizes artificial intelligence technology to enhance your travel planning experience.

2. Eligibility

You must be at least 18 years of age to use the Service. By using PRANA, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into these Terms, and are not prohibited from using the Service under applicable law. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. PRANA reserves the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete.

4. Membership and Subscription

PRANA may offer various membership tiers and subscription plans. By subscribing to a paid membership, you agree to pay all applicable fees as described at the time of purchase. Subscription fees are billed in advance on a recurring basis according to your selected plan. You may cancel your subscription at any time, but no refunds will be provided for partial billing periods unless required by law. PRANA reserves the right to modify subscription pricing with reasonable advance notice to existing subscribers.

PRANA utilizes artificial intelligence to generate hotel recommendations and travel suggestions. While we strive to provide accurate and helpful recommendations, you acknowledge and agree that:

1. AI-generated content may contain errors, inaccuracies, or outdated information;
2. Recommendations and itineraries are provided for informational and inspirational purposes only and should not be the sole basis for travel decisions;
3. You are responsible for independently verifying all information, including pricing, availability, amenities, and hotel policies before making any reservations;
4. PRANA does not guarantee the accuracy, completeness, or reliability of any AI-generated content;
5. Itineraries are examples only — they do not represent confirmed bookings or reservations.

PRANA may provide links or references to third-party websites, services, or booking platforms, including properties within the Virtuoso network. Your interactions with these third parties, including any bookings you make, are governed by the third party's terms and policies. PRANA is not responsible for the practices, content, or availability of third-party services. Any disputes arising from your use of third-party services must be resolved directly with the applicable third party.

You agree not to use the Service to:

1. Violate any applicable law, regulation, or third-party rights;
2. Transmit harmful code, malware, or engage in any activity that could damage or impair the Service;
3. Attempt to gain unauthorized access to any portion of the Service or its related systems;
4. Use automated means to access the Service without our express permission;
5. Interfere with other users' enjoyment of the Service;
6. Misrepresent your identity or affiliation with any person or entity.

9. Intellectual Property

The Service, including all content, features, and functionality, is owned by PRANA and its licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes. The PRANA name, logo, and all related marks are trademarks of PRANA and may not be used without permission.

You may submit content to the Service, including travel preferences, reviews, and feedback ("User Content"). You retain ownership of your User Content but grant PRANA a worldwide, royalty-free, sublicensable license to use, reproduce, modify, and display your User Content in connection with operating and improving the Service. You represent that you have all necessary rights to grant this license and that your User Content does not violate any third-party rights or applicable laws.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PRANA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. PRANA MAKES NO WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE, INCLUDING AI-GENERATED RECOMMENDATIONS AND ITINERARIES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRANA AI, PRANA JOURNEYS, VIRTUOSO, SIMONA CASSIUS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR ANY TRAVEL ARRANGEMENTS MADE BASED ON INFORMATION PROVIDED BY THE SERVICE. THIS INCLUDES, WITHOUT LIMITATION, ANY DAMAGES ARISING FROM TRAVEL DISRUPTIONS, HOTEL ISSUES, FLIGHT CANCELLATIONS, LOST BAGGAGE, PERSONAL INJURY, OR ANY OTHER TRAVEL-RELATED INCIDENTS.

IN NO EVENT SHALL PRANA'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO PRANA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless PRANA, Prana Journeys, Virtuoso, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, any travel arrangements you make, your violation of these Terms, or your violation of any rights of another party.

14. Modifications to Service and Terms

PRANA reserves the right to modify, suspend, or discontinue the Service at any time without notice. We may also revise these Terms from time to time. Material changes will be communicated through the Service or via email. Your continued use of the Service after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

15. Termination

You may terminate your account at any time by contacting us or using the account settings within the Service. PRANA may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately, and any provisions of these Terms that by their nature should survive termination shall survive.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Memphis, Tennessee, and the arbitrator's decision shall be final and binding. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PRANA regarding your use of the Service and supersede all prior agreements and understandings, whether written or oral.
